These Terms do not grant you any rights to use Traspdisti's name, logo, or other trademarks, service marks, logos, product or service names, slogans, or the like for any purpose.
Subject to your compliance with these Terms, Traspdisti grants you a limited, non-exclusive, non-transferable, non-sublicensable license to access and use the Services for your personal or internal business purposes. This license does not include any resale or commercial use of the Services or any collection and use of any product listings, descriptions, or prices; any derivative use of the Services or their contents; or any use of data mining, robots, or similar data gathering and extraction tools.
If you provide us with any feedback or suggestions regarding the Services ("Feedback"), you hereby assign to Traspdisti all rights in such Feedback and agree that Traspdisti shall have the right to use and fully exploit such Feedback in any manner it deems appropriate. Traspdisti will treat any Feedback you provide as non-confidential and non-proprietary.
Some parts of our Services may allow you to post, submit, publish, display, or transmit content ("User Content"). By providing any User Content, you grant us and our affiliates and service providers a non-exclusive, royalty-free, perpetual, irrevocable, and fully sublicensable right to use, reproduce, modify, adapt, publish, translate, create derivative works from, distribute, perform, and display such User Content throughout the world in any media.

You further acknowledge and agree that Traspdisti shall not be responsible or liable, directly or indirectly, for any damage or loss caused or alleged to be caused by or in connection with the use of or reliance on any such content, goods, or services available on or through any such websites or services.

YOUR USE OF THE SERVICES IS AT YOUR SOLE RISK. THE SERVICES ARE PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS. TRASPDISTI EXPRESSLY DISCLAIMS ALL WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING, BUT NOT LIMITED TO, THE IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.
TRASPDISTI MAKES NO WARRANTY THAT (i) THE SERVICES WILL MEET YOUR REQUIREMENTS, (ii) THE SERVICES WILL BE UNINTERRUPTED, TIMELY, SECURE, OR ERROR-FREE, (iii) THE RESULTS THAT MAY BE OBTAINED FROM THE USE OF THE SERVICES WILL BE ACCURATE OR RELIABLE, OR (iv) ANY ERRORS IN THE SERVICES WILL BE CORRECTED.
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL TRASPDISTI, ITS AFFILIATES, OR THEIR DIRECTORS, EMPLOYEES, PARTNERS, AGENTS, SUPPLIERS, OR AFFILIATES BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING WITHOUT LIMITATION, LOSS OF PROFITS, DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, RESULTING FROM (i) YOUR ACCESS TO OR USE OF OR INABILITY TO ACCESS OR USE THE SERVICES; (ii) ANY CONDUCT OR CONTENT OF ANY THIRD PARTY ON THE SERVICES; (iii) ANY CONTENT OBTAINED FROM THE SERVICES; AND (iv) UNAUTHORIZED ACCESS, USE, OR ALTERATION OF YOUR TRANSMISSIONS OR CONTENT, WHETHER BASED ON WARRANTY, CONTRACT, TORT (INCLUDING NEGLIGENCE), OR ANY OTHER LEGAL THEORY, WHETHER OR NOT WE HAVE BEEN INFORMED OF THE POSSIBILITY OF SUCH DAMAGE.
IN NO EVENT SHALL TRASPDISTI'S TOTAL LIABILITY TO YOU FOR ALL CLAIMS EXCEED THE AMOUNT PAID BY YOU, IF ANY, FOR ACCESSING OR USING THE SERVICES.
THE LIMITATIONS OF DAMAGES SET FORTH ABOVE ARE FUNDAMENTAL ELEMENTS OF THE BASIS OF THE BARGAIN BETWEEN TRASPDISTI AND YOU.
Some jurisdictions do not allow the exclusion of certain warranties or the limitation or exclusion of liability for incidental or consequential damages. Accordingly, some of the above limitations may not apply to you.
You agree to defend, indemnify, and hold harmless Traspdisti, its affiliates, and their respective officers, directors, employees, agents, licensors, and service providers from and against any claims, liabilities, damages, judgments, awards, losses, costs, expenses, or fees (including reasonable attorneys' fees) arising out of or relating to your violation of these Terms or your use of the Services, including, but not limited to, your User Content, any use of the Services' content, services, and products other than as expressly authorized in these Terms.
10.1 These Terms and your use of the Services shall be governed by and construed in accordance with the laws of Singapore, without regard to its conflict of law provisions.
10.2 Any legal action or proceeding arising out of or relating to these Terms or your use of the Services shall be exclusively brought in the courts of Singapore, and you hereby consent to the personal jurisdiction and venue of such courts.
11.1 If you have any concerns or disputes about the Services, you agree to first try to resolve the dispute informally by contacting us at [email protected].
11.2 If a dispute cannot be resolved informally, you and Traspdisti agree to attempt in good faith to resolve the dispute through mediation administered by the Singapore Mediation Centre in accordance with its Mediation Procedure for the time being in force.
11.3 If the dispute has not been settled pursuant to the said Procedure within 60 days following the filing of a request for mediation or within such other period as the parties may agree in writing, such dispute shall be referred to and finally resolved by arbitration in Singapore in accordance with the Arbitration Rules of the Singapore International Arbitration Centre for the time being in force, which rules are deemed to be incorporated by reference in this clause.
12.1 We may terminate or suspend your account and bar access to the Services immediately, without prior notice or liability, under our sole discretion, for any reason whatsoever and without limitation, including but not limited to a breach of the Terms.
12.2 If you wish to terminate your account, you may simply discontinue using the Services, or contact us at [email protected] to request account deletion.
12.3 All provisions of the Terms which by their nature should survive termination shall survive termination, including, without limitation, ownership provisions, warranty disclaimers, indemnity, and limitations of liability.
13.1 The Terms constitute the entire agreement between you and Traspdisti regarding our Services and supersede all prior and contemporaneous written or oral agreements between you and Traspdisti.
13.2 You may be subject to additional terms and conditions that apply when you use or purchase certain Services, which will be disclosed to you at the time of such use or purchase.
14.1 The failure of Traspdisti to enforce any right or provision of these Terms will not be deemed a waiver of such right or provision.
14.2 If any provision of these Terms is held to be invalid or unenforceable by a court, the remaining provisions of these Terms will remain in effect.
15.1 We reserve the right, at our sole discretion, to modify or replace these Terms at any time. If a revision is material, we will provide at least 30 days' notice prior to any new terms taking effect. What constitutes a material change will be determined at our sole discretion.
15.2 By continuing to access or use our Services after any revisions become effective, you agree to be bound by the revised terms. If you do not agree to the new terms, you are no longer authorized to use the Services.
